AMENDMENT TO <br /> GRANT AGREEMENT FOR HISTORICAL RECORDS PRESERVATION <br /> This Grant Agreement("Agreement")is dated ,2013,by and <br /> between the Lexington Historical Society, a non-profit corporation duly organized under the <br /> laws of the Commonwealth of Massachusetts with an address of 13 Depot Square, P.O. Box <br /> 514,Lexington,Middlesex County,Massachusetts 02420(the"Grantee"), and the Town of <br /> Lexington, a municipal corporation with an address of 1625 Massachusetts Avenue, <br /> Lexington,Middlesex County,Massachusetts 02420,acting by and through its Board of <br /> Selectmen(the"Town"). <br /> WHEREAS,the Grantee has sought funding from the Town pursuant to the <br /> Community Preservation Act, GL. c. 44B,to fund the preservation of Historic Records <br /> (the"Project")held by the Lexington Historical Society and by the First Parish Church; and <br /> WHEREAS,through Article 8(i)at the 2012 Annual Town Meeting,the Town voted <br /> to appropriate the sum of Seventy-seven Thousand Two Hundred and Sixty-eight dollars <br /> ($77,268)from the Unbudgeted Reserve of the Community Preservation Fund(the"Funds") <br /> for the Project and authorized the Board of Selectmen to enter into an agreement with the <br /> Grantee for the grant of the Funds to the Grantee;and <br /> WHEREAS,the Grantee wishes to use the greater portion of the Funds to preserve <br /> identified Historic Records held by the Historical Society under an existing Agreement with <br /> the Town dated October 31,2012; and <br /> WHEREAS the Grantee has executed a separate agreement with the First Parish <br /> Church and has reserved a separate portion of the Funds($10,138)to preserve the First <br /> Parish Records Book;and <br /> WHEREAS,the Town and Grantee wish to memorialize herein the terms governing <br /> the grant of the Funds appropriated at Town Meeting: <br /> NOW,THEREFORE, in consideration of the mutual covenants herein set forth,the <br /> parties agree as follows: <br /> 1. The Grantee agrees that the Funds shall be used solely for the purpose of <br /> preserving and digitizing important historical Town documents and is necessary for the <br /> permanent conservation and preservation of such documents,and is therefore fundable <br /> under the Community Preservation Act,CIL. c. 44B, § 5(b)(2). The Grantee shall make no <br /> other use of the Funds. <br /> 2. The Grantee agrees to make copies of any proposals or bid documents <br /> relating to the Project available for inspection by the Town at the Town's request. The <br /> 1 <br />
