CLEGHORN AND THE TOWTT, OF LEXINGTON FOR INSTALLATION OF HEATING A71M VENTILATING APPARATUS IN NEW HIGH SCHOOL BUILDING. THIS AGREEITIENT, made this sixteenth day of April, 1902, be- tween_ F. S. CLEGHORN, doing business in Boston, 1.1ass. , under the style of . CLEG-1ORN C0121 A17Y, of the first part , and the INHAB- ITANTS OF THE TOMT OF LEXINGTON, .iASS. , of the second part; said Inhabitants aetin� herein by Henry '11. Lewis , Edwin A. Bayley , and Robert P. Clapp ; constituting a sub-committee of the general build- ing cc..unittee which has in charge the matter of building for the tour the new High School House now in process of construction, WITNESSETH THAT (1) In consideration of the aoreemer_t of the party of the second part herein contained, the party of the first part, said "`° Cleghorn, hereby undertakes and agrees to furnish all the materi- als for, and accomplish the work of, installing in the Lexington_ High School Building, now in process of erection_, a heating and ven_tilatin ; system and apparatus therefor , in accordance with the requirements of the Specification hereto annexed, prepared by Cooper & Bailey , and of the heating and ventilating plans lately submitted by F. S. Cleghorr_ (coffbination gravity and blower sys- tem) , said Cleghorr_ agreeing to do so on the following 'oasis and terms : (a) Actual cost to him of the labor of his workmen ( includ- ing man superintending on the premises the work of installation) plus twenty per cent (20�.) ; said Cleghorn hereby guaranteeing that the amount on which this percentage is to be added shall not ex- ceed six hundred dollars (Af00) . If the labor cost should exceed six hundred dollars , then the percentage to be added on the excess above six hundred dollars shall be ten per cent (10 ) ,- i. e. the 1 same as the percentage hereinafter provided to be added to cost of materials. 'No charge is to be made for said Cleghorn_' s own ser- vices , nor for the work or services furnished in the preparation_ of said plans. (b) Actual cost to said Cleghorr_ of all apparatus and ma- terials entering into the job. By such cost is inean_t actual net -b cost to hire, after deducting all trade or other discounts and com- missions , excepting only such special discount as he may receive expressly for prompt payment of bills. Except as otherT,,rise specified, all material is to be of the best quality. All of t .ie above is subject to the guaranteed limit herein- after provided. (c ) The foregoing costs shall be shown_ to said Sub-Co ,it- tee or their successors by exhibition of original bills and vouch- ers. (d) Said Cleghorr_ hereby guarantees that the cost of the completed job to the party of the second part shall not exceed sixty-eight hundred dollars (V§6800) . If the cost figured on the foregoing basis should exceed sixty-eight hundred dollars ($6800) said Cleghorr_ agrees to :Hake no charge beyond said limit , but to bear the excess himself. If, however, the total cost , figured on said basis of actual costs to Cleghorr plus the specified per- centages , should fall below said guaranteed limit , then_ the dif- ference or saving shall be divided equally between the party of the first part and said Cleghorr_. ( e) The work herein provided for shall be completed before August 1 , 10-02. ( f) Payment shall be made as follows : ninety per cent at the end of each month of the amount of rFrork done, as near- ly as the same can be estimated by the Architects , who shall give 2 i certificates of such estimates. The cumulating residue of ten per cent (10g) shall be paid in thirty-one (31) days after the giving by the .Architects of a certificate approving the fin- ished work, and proof that there are outstanding no mechanics ' liens arising from the job. Such certificate of approval shall not relieve said Cleghorn_ from the requirements of the guaranty r contained in the last two pages of the annexed Specification. (2) Said Cleghorr_ agrees to give, at his ow expense , a bond in the sum of one thousand dollars (Z�1 ,000) , conditioned for the faithful performance of this contract , up to the time of ac- ceptance of the co-mpleted job , and beyond until it shall be shown, by test made in extreme cold weather, that the guaranty on the last two pages of the Specification_ is fulfilled. (3) Said Cleghorn shall be bound, for one year after ac- ceptance and payment , with reference to making good defects that M_ develop within said one year, as provided near -he end of the Spe- c if ication. (4) The party of the second part hereby agrees to make to said Cleghorn the payments to vd,ich he shall become entitled under the foregoing terms and provisions , and to make them at the times and in the L:iar_n_er hereinbefore provided.
