MINUTES OF THE MCAB MEETING 24 SEPTEMBER, 1981
A meeting of the MCAB was held on Thursday, 24 September,
1981 in the War Memorial Auditorium of Newton City Hallo Mary
Miley, (Lexington) Chairman of the Board, called the body to
order at 8 OOP .M. Of the 54 municipalities in the county, 32
cities and towns with a total weighted vote of 81 were present
surpassing the quorum requirement of 67.54 After welcoming the
members , Miley reminded them the MCAB budget recommendation for
FY ' 82 were the minutes of the last meeting and had been distrib -
uted to all communities so no further Secretary' s report would
be given. William Joyce (Concord) gave the treasurer ' s report.
John Agnew (Reading) reviewed the recommendations of the FY' 81
budget committee which had been accepted by the legislature. He
urged the Board to continue pressing for budget passage and vol-
unteered the continuing work of the entire budget committee for
the coming year.
Jeanne Kangas (Boxborough) and William Joyce presented the
new by-laws for consideration and compared them to the currently
used by-laws. A consensus of the Board approved a change to re-
quire a roll call vote on all budget items or when requested by
a member. Article 2 was changed to read "member or members from"
instead of "representative or representatives of". The by-laws
were then unanimously accepted. (attached)
Sheila Cheimets from the Massachusetts Municipal Association
conveyed the good wishes of her Association to the Board in its
very willing accepta>: ce of the statuted responsibility to "increase ,
decrease , alter and revise" the proposed county budget.
Mary Miley opened the floor to nominations for Chairperson,
Vice Chairperson, and Clerk. Nominated, seconded , and unanimously
elected were Theodore Mann (Newton) Chairperson, Robert Healy
(Cambridge) Vice Chairperson, and Ester Zeimetz (North Reading)
Clerk, Mann, praising Miley for her ability to successfully steer
the Board through the transition from advisory to appropriating
authority, thanked her for her year as chairman and for all the
previous years she had bees on the Board. Stressing the need to
get moving Mann reappointed the FY' 81 budget committee in toto and
add two representatives from Newton. The committee consists of
John Agnew, Chairman, (Reading) Nancy Gerhardt, (Acton) Richard
Fanning, (Arlington) Irvin Duclos, (Ashland) Jeanne Kangas , (Box-
borough) William Joyce, (Concord) Mildred Lurvey, (Groton) Paul
Boire , (Hudson) Gordon Baird, (Lincoln) Kevin Paicosi (North Reading)

Leonard Aronson, (Newton) David Wilkinson, (Newton) Sherry Martin,
(Weston) and Stanton Sherman (Stow) The Chairperson directed
the budget committee to meet with the executive board , the county
commissioners , and county treasurer the first week in October to
lay the groundrules for the budget review.
Margery Battin introduced ac±met, on passed by the Middlesex
County Selectmen' s Association requesting the legislature to
incorporate in the FY ' 82 budget not yet passed a sum of money to
staff the Board for this fiscal year. Passed on a roll call vote
67 yeas and 5 nays was the following
Move that the advisory board request the legislature to
include in the FY'82 budget for Middlesex County a line
item, not to exceed $ .Ol per capita or $40 ,000, whichever
is greater , so that the advisory board may incure expenses
not to exceed that amount , for staff, stenographic , and
clerical work, and such expenses shall he paid by the county,
provided, however, that said amount not increase the FY ' 82
budget.
The executive board appointed a legislative committee to
lobby for budget passage and introduce the motion to the committee
on counties. The committee is John DelPrete , Chairman (Framingham)
Gregory Jarboe , (Acton) John Hinckley, (Hopkinton) Paul Boire ,
(Hudson) Patrick Jordan, (Stoneham) Jeanne Kangas , (Boxborough)
Erica Ball , (Natick) and Margery Battin (Lexington) .
Michael Barrett (D-Reading) was introduced to the body by the
Chairperson and expressed his intention to support the work of
the legislative committee.
The question of legislation to allow designees on the Board
in lieu of chairmen, mayors , or city managers as the statute now
specifies . Mary Miley argues against such a proposal since it
indicates an unwillingness of the Board to work under the very plan
they sought for so long. Sheila Cheimets reported legislation to
that effect will be filed by Charles Flagherty (D-Cambridge)
After appointing the standing committees , Mann adjourned the
meeting at 9 15 P .M. (Committee chairman list attached) .

BYLAWS
OF
MIDDLESEX COUNTY ADVISORY BOARD
ARTICLE 1. Officers of the Board. The officers of the
Board shall be a Chairperson, a Vice Chairperson, and a Clerk,
each elected from the Board by a majority of the total vote
in the quorum present and voting. The officers first elected
shall serve for a term expiring July 1, 1975 , and thereafter
until the election of their respective successors. The officers
thus elected shall serve for a term of one year from July 1st
in the year of the election, and shall serve there fter until
their successors are elected. Vacancies in office , including
those resulting from an officer of the Board ceasing to hold
office as a mayor, city manager or chairperson of a board of
selectmen shall be filled for the unexpired term by election
by a majority of the total vote in the quorum present and voting.
The Chairperson , or in the event of his/her absence or vacancy
in office , the Vice Chairperson, shall preside at all meetings
of the Board, but neither shall be deprived of their right to
vote. The Cha -person shall authorize expenditures of no more
than five hundred dollars , and for amounts of five hundred or more
the prior approval of the officers of the Board is required.
The Chairperson and Vice Chairperson shall also have such powers
and perform such duties as may from time to time be voted by the
Board. The Clerk shall enter in books all votes , orders and pro-
ceedings of the Board, and shall have custody of such books. The
above officers shall appoint a treasurer who need not be a mem-
ber of the Board.
ARTICLE 2. Meetings of the Board. The Board shall meet upon
call of the Chairperson or, in the event ,of his/her absence or
vacancy in this office, of the Vice Chairperson or upon call of
a member or members from cities and towns having five per cent or
more of the votes of the Advisory Board. All meetings of the
Board and notices thereof shall comply with the requirements of
the Open Meeting Law, so called, and more specifically M.G.L. Ch. 34,
section 9F and 9G .
ARTICLE 3. Functions of the Board. The Advisory Board shall
act in accordance with the requirements of the General Laws. The
Clerk of the Board shall, when transmitting notice of its votes to

the appropriate County or State official, include minutes of the
meeting at which the votes are taken. The Clerk may also in -
clude such written material supporting the Board ' s decision as
recommended by the Chairperson and authorized by the Officers of
the Board. A quorum of the Board shall consist of a majority of
the total vote in the Board as established annually by the Director
of Accounts and delivered to the Board under tk;.e provisions of
Chapter 1166 of the Acts of 1973. VotLng members of the Board
shall be determined as provided by law. All votes of theBoard shall
be taken by yeas and nays on budgetary resolutions or by request
thereon, with each duly-constituted Member present answering when
his/her city or town name is called. Except as otherwise provided
by law, motions shall pass by a majority of the total vote in the
quorum present and voting. The number of votes assigned to each
Member voting shall be as provided by law.
ARTICLE 4. Committees. The Chairperson shall, with the
majority approval of the Officers of the Board, appoint the
following committees : Budget, Insurance , Personnel, Capital
Expenditures , Hospital. The Chairperson may, at his/her dis -
cretion, appoint special committees from time to time with the
approval of the Officers of the Board. Committee members shall
be either Advisory Board members or their designees. The term of
office for these committee members shall be for one year from
July 1st in the year of appointment and they shall serve until
appointment of their successors. No committee member shall be an
employee of Middlesex County.
ARTICLE 5. Amendments of Bylaws. These bylaws may be
amended by the affirmative vote of two-thirds of the total vote
in the quorum present and voting at any duly called meeting of the
Board, if the notice of such meeting has contained a copy of the
proposed amendment or a statement of the intent and substance
thereof. All procedural questions not provided for in these
bylaws shall be governed by Roberts Rules of Parliamentary Pro -
cedure.
