HomeMy WebLinkAbout2024-06-17-AHTBT-min-exe 1 Affordable Housing Trust Meeting Minutes of June 17, 2024 12:30 pm, Executive Session Hybrid meeting on Zoom and attended in-person in Parker room, Town office building Affordable Housing Trust Board Members present: Elaine Tung, Chair; William Erickson, Mark Sandeen, Tiffany Payne, Linda Prosnitz Staff present: Carol Kowalski, Assistant Town Manager for Development; Liz Rust, RHSO Director; Ragi Ramachandran, Administrative Assistant; Mina Makarious, Town Counsel; Sadie Keller, Town Counsel Ms. Tung chaired the Executive session that started at 1:15 pm. Executive Session Exemption 6: To consider the Value of Real Property – Parcel 68-44. Ms. Tung requested a motion to go into Executive session under Exemption 6 to discuss the value of Parcel 68-44. The Affordable Housing Trust Chair stated that an open session might have a detrimental effect on the negotiating position of the Trust. Mr. Sandeen moved. Ms. Prosnitz seconded. The Trustees voted in favor of the motion 4-0-0, by a roll call vote (Erickson – yes, Sandeen – yes, Prosnitz – yes, Tung – yes). Mr. Makarious presented the revised draft of the Land Disposition Agreement incorporating the comments received from past meeting. The Trustees reviewed the updates and discussed various sections of the LDA. Mr. Makarious clarified on mitigation measures, marketing, tax allocation, site access, and repurchase rights. Mr. Makarious stressed the importance of developers providing an operating agreement and being aware of potential issues regarding right of entry agreements. Mr. Makarious will incorporate changes to the LDA discussed in this meeting. The Trustees discussed the public comments and the comments received from Town Committees, Commissions and Boards on the draft RFP, and reviewed it with the Town Counsel. There was discussion on deadline for proposal submission, Diversity, Equity and Inclusion, conceptual design rights, bike lanes, pedestrian infrastructures, pro forma, site plan, parking, property management guidelines, and Selection Criteria. The Trustees suggested changes to the RFP. Mr. Makarious agreed to incorporate the comments from the discussions. Mr. Makarious and Ms. Tung will discuss and convey the consolidated comments and changes to the Select Board. Ms. Tung will clarify the process of how Affordable Housing Trust will be involved in reviewing, and providing recommendations on the proposals received. Mr. Makarious will provide clarification on the legal aspects of the Affordable Housing Trust members' roles and responsibilities in the proposal evaluation process. Mr. Erickson moved to adjourn the Executive session of Affordable Housing Trust. Mr. Sandeen seconded. The Trustees voted in favor of the motion 3-0-0, by a roll call vote (Sandeen – yes, Erickson – yes, Tung – yes). 2 The Affordable Housing Trust meeting adjourned at 3:41 pm at the conclusion of the Executive session.
