Meeting Minutes of June 11, 2024 12:30 pm, Executive Session

Affordable Housing Trust Board Members present: Elaine Tung, Chair; William Erickson, Mark
Sandeen

Ms. Tung chaired the Executive session that started at 12:36 pm.
Executive Session
Exemption 6: To consider the Value of Real Property – Parcel 68-44.
Ms. Tung requested a motion to go into Executive session under Exemption 6 to discuss the
value of Parcel 68-44. The Affordable Housing Trust Chair stated that an open session might
have a detrimental effect on the negotiating position of the town. Mr. Sandeen moved. Mr.
Erickson seconded. The Trustees voted in favor of the motion 3-0-0, by a roll call vote (Erickson
– yes, Sandeen – yes, Tung – yes).
Ms. Tung stated that the Trust will reconvene in open session at the end of the Executive session.
The Trustees discussed the draft Land Disposition Agreement (LDA) and debated on various
sections of the LDA. There was discussion on land sale contract, permitting process, subsidies,
resale agreement, and on property tax liability on part of the buyers.
Ms. Tung will share the comments received on the LDA with the Select Board.
Town Counsel will update the draft LDA based on the discussions and share the revised document
for the Trust’s review on June 17th. The Select Board will review the draft LDA at the Select Board
meeting on June 17th.
Ms. Tung requested a motion to come out of the Executive session of Affordable Housing Trust.
Mr. Sandeen moved. Mr. Erickson seconded. The Trustees voted in favor of the motion 3-0-0,
by a roll call vote (Sandeen – yes, Erickson – yes, Tung – yes).
The Trust came out of the executive session at 1:15 pm.
The Trust reconvened in the Executive session at 1:40pm.
Ms. Tung moved for the Affordable Housing Trust to re-enter the Executive session under
Exemption 6 to discuss the value of Parcel 68-44. Mr. Erickson seconded. The Trustees voted in
favor of the motion 3-0-0, by a roll call vote (Erickson – yes, Sandeen – yes, Tung – yes).
Ms. Tung stated that the Trust will not reconvene in the open session at the end of the Executive
session.

The Trustees consulted with Town Counsel and discussed the inclusion of local preferences in the
Request for Proposals (RFP), Pro Forma requirements, specific language changes and access
procedures for developers.
Ms. Tung will consolidate all the edits received on the RFP, and send the updated list to the Select
Board for review.
Mr. Makarious will confirm the policy choices for the RFP, including the local preference range
and the access timeline for developers, ensuring they align with the Town's goals and legal
requirements.
Town Counsel agreed to update the draft RFP for the changes proposed. Mr. Makarious will
prepare and present the major policy changes to the Select Board in the open session on Monday,
June 17 including public comments and proposed edits are appropriately reflected in the RFP.
Mr. Sandeen moved to adjourn the Executive session of Affordable Housing Trust. Mr. Erickson
seconded. The Trustees voted in favor of the motion 3-0-0, by a roll call vote (Sandeen – yes,
Erickson – yes, Tung – yes).
The Affordable Housing Trust meeting adjourned at 2:20 pm at the conclusion of the Executive
session.
