Meeting Minutes of May 23, 2024 1:00 pm, Executive Session

Affordable Housing Trust Board Members present: Elaine Tung, Chair; Tiffany Payne, Linda
Prosnitz, William Erickson, Mark Sandeen
Staff present: Carol Kowalski, Assistant Town Manager for Development; Ragi Ramachandran,
Administrative Assistant; Stephanie Dubanowitz, Town Counsel
Ms. Tung chaired the Executive session that started at 1:35 pm.
Executive Session
Exemption 6: To consider the Value of Real Property – Parcel 68-44.
Ms. Tung requested a motion to go into Executive session under Exemption 6 to discuss the
value of Parcel 68-44. The Affordable Housing Trust Chair stated that an open session might
have a detrimental effect on the negotiating position of the town. Mr. Sandeen moved. Ms.
Prosnitz seconded. The Trustees voted in favor of the motion 5-0-0, by a roll call vote (Erickson
– yes, Prosnitz – yes, Tung – yes, Payne – yes, Sandeen – yes).
Ms. Tung stated that the Trust will reconvene in open session at the end of the Executive session.
The Trustees reviewed the draft RFP and had a detailed discussion on the various sections within
the RFP. There was discussion on unit count preference, Energy, Efficiency and Sustainability,
Diversity, Equity and Inclusion, Wetlands and Lexington Conservation Commission’s
recommendation, Transportation, financial capability criterion under Selection criteria, Proposal
evaluation and ranking strategies for RFP responses.
Mr. Sandeen and Ms. Prosnitz will update the evaluative criteria based on the discussions.
Ms. Dubanowitz agreed to update the draft RFP for the changes proposed.
Ms. Tung requested a motion for the Affordable Housing Trust to approve the recommended
draft of the RFP with amendments discussed today, and to authorize Ms. Prosnitz and Mr.
Sandeen to update the evaluation criteria as discussed. Mr. Sandeen moved. Mr. Erickson
seconded. The Trustees voted in favor of the motion 5-0-0, by a roll call vote (Erickson – yes,
Prosnitz – yes, Tung – yes, Payne – yes, Sandeen – yes).
The Select Board will review the draft RFP at the Select Board meeting on June 3 rd.
Ms. Tung requested a motion to come out of the Executive session of Affordable Housing Trust.
Mr. Sandeen moved. Ms. Prosnitz seconded. The Trustees voted in favor of the motion 5-0-0,
by a roll call vote (Tung – yes, Sandeen – yes, Payne – yes, Erickson – yes, Prosnitz – yes).
