EMPLOYMENT AGREEMENT
Between the Town of Lexington
and
Interim Town Manager
This agreement, pursuant to Chapter 41, Section 108N of the Massachusetts General Laws and
Chapter 753 of the Acts of 1968: An Act Establishing the Selectmen-Town Manager form of

Government in the Town of Lexington; is made and entered into this 16 day of September 2024
by and between the Town of Lexington, Commonwealth of Massachusetts, a municipal
Town, acting by and through its Select Board, hereinafter

WITNESSETH:
Whereas, The Board desires to appoint Kelly Axtell to serve as Interim Town Manager of the
Town of Lexington; and,
Whereas, the Board, under Chapter 41, Section 108N of the Massachusetts General Laws and
Chapter 753 of the Acts of 1968, may contract with the Interim Town Manager regarding her
conditions of employment; and
Whereas, Kelly Axtell has agreed to accept the appointment as Interim Town Manager of said
Town.
Now therefore,
in consideration of the mutual covenants contained herein, the parties agree as
follows:
Section 1. Duties
1.1 The Interim Town Manager upon appointment shall have the full powers of theTown
Manager in accordance with the provisions of the Selectmen-Town Manager Act of 1968
and all other applicable laws.
1.2 Nothing in this Agreement shall prevent, limit, or otherwise interfere with the right of the
Board to terminate the appointment of the Interim Town Manager.
Section 2. Salary
The Town shall pay the Interim Town Manager an additional salary of $6,000 per month which
is in addition to the current salary as the Deputy Town Manager (prorated for partial month if
needed) during the period she serves as the Interim Town Manager.
During the period she serves as the Interim Town Manager, the Town shall provide Kelly Axtell
automobile
with an for use in the performance of her official duties for the Town.

All other provisions of Ms. Axtell's Employment Agreement, unless superseded by this
Agreement, shall remain in full force and effect. Without limitation, wherever Kelly Axtell's
Employment Agreement requires approval or action by the Town Manager, that approval or
action may be taken by the Chair of the Board with the Board's prior authorization.
Section 3. Indemnification
3.1 The Town shall defend, save harmless and indemnify the Interim Town Manager against
any tort, professional liability, claim or demand, or other legal action, whether groundless
or otherwise, arising out of an alleged act or omission occurring in the performance of her
duties as Interim Town Manager, even if said claim is brought or filed following her
termination from employment, provided that at the time of the alleged act or omission the
Interim Town Manager was then acting within the scope of her approved duties. Under
these circumstances only, the Town (or its insured) shall pay the amount of any
settlement or judgement rendered thereon, and further, the Town (or its insured) may
compromise and settle any such claim or suit and pay the amount of any settlement or
judgement render thereon without recourse to the Interim Town Manager.
3.2 In connection with those claims or suits involving the Interim Town Manager in her
professional capacity and covered under Section 3.1 above, the Town, at its sole option,
shall either retain and pay for an attorney to represent the Interim Town Manager
(including all fees and costs) or reimburse the Interim Town Manager in connection with
same, providing the Interim Town Manager submits proper invoices and evidence of
payment of same.
3.3 This Section shall survive the termination of this Agreement
Section 4. Term
4.1 This Agreement shall become effective October 1, 2024, and shall be in full force until
May 31, 2025 or until a Town Manager is appointed by the Select Board, whichever is
sooner.
Section 5. General Provisions
5.1 If any provision, or any portion thereof, contained in this Agreement, is held
unconstitutional, invalid, or unenforceable, the remainder of this Agreement, or portion
thereof, shall be deemed severable, shall not be affected, and shall remain in full force
and effect.
5.2 This Agreement shall be binding upon and insure to the benefit of the heirs at law and
executors of the Interim Town Manager.
5.3 This Employment Agreement is entered into in the Commonwealth of Massachusetts and
shall be construed and interpreted in accordance with its laws.
5.4 During the term of the Interim Town Manager, she shall continue to perform the duties of
Deputy Town Manager and shall automatically revert back to such position upon
completion of her term as Interim Town Manager.

the Town of Lexington, Massachusetts has caused this Agreement to
be signed and executed in its behalf by its Select Board, and duly attested by its Town Clerk, and
