Meeting Minutes of May 25, 2022
Affordable Housing Trust Study Committee members present for the public meeting:
Kathryn Roy, Chair; Betsey Weiss, Gretchen Reisig, Jeri Foutter, Carol Marine, Tara Mizrahi,
Linda Prosnitz
Lexington Staff present for the public meeting: Carol Kowalski, Assistant Town Manager for
Development; Kiruthika Ramakrishnan, Administrative Assistant.
Non-voting liaison of the Select Board: Mark Sandeen
Other Attendees: Elizabeth Rust, RHSO.
Ms. Roy conducted a roll call to ensure that all the members of the Affordable Housing
Trust Study Committee (ad hoc) and members of staff present could hear and be heard.
Ms. Roy chaired the meeting and called the meeting to order at 4:02 pm.

1. Approval of Minutes of Meeting held on 05.11.2022
The Affordable Housing Trust Study Committee reviewed the draft minutes of the meeting held on
05.11.2022. Ms. Weiss moved that the committee approve the minutes of the meeting held on
05.11.2022, as presented. Ms. Marine seconded the motion. The Affordable Housing Trust Study
Committee voted in favor of the motion. MOTION PASSED.
2. Review of presentation to CEC, CPC, and the Select Board
Ms. Roy shared the presentation prepared by the committee to be presented to the CEC, CPC and
the Select Board. The presentation started with explaining the meeting objectives as to the
committee presenting their work and recommendations in advance of drafting materials for Select
Board approval of an Affordable Housing Trust for Lexington. The need for an Affordable Housing
Trust in Lexington was stressed and a list of Municipalities with Affordable Housing Trusts was
shown. The presentation explained the activities that an Affordable Housing Trust can engage in and
the members suggested some edits to the list of activities. The Powers of the Affordable Housing
Trust and its funding sources were discussed. Ms. Roy shared a schematic showing the proposed
Lexington Affordable Housing Funding Map.
The presentation explained how the Affordable Housing Trust can do a variety of activities in
conjunction with the CPC. Checks and Balances of the Trust were discussed. The expertise and
experience of the proposed trustees along with their terms, were determined. The detailed steps

involved in creating an Affordable Housing Trust were discussed. The members discussed what the
next steps for the Affordable Housing Trust would then be. The list of discussion points was shared
with the committee.
3. Creating a list of questions and clarifications for the meeting with Town
Counsel
Ms. Mizrahi gave a brief overview of LexHAB’s thoughts on the various options that it had explored
to become a 501(c)(3) and the path to pursue and expedite it. Ms. Mizrahi added that LexHAB
decided to meet with the Town and the Town Counsel to discuss the options in detail. Ms. Marine
asked about the future plans. Ms. Mizrahi said that the articles that created LexHAB would be
rewritten and all the procedures required by the Town and Town Meeting would be followed.
4. Upcoming Meetings
The Committee briefly discussed about upcoming meetings and decided to hold their next meeting
on Wednesday June 8th at 4 p.m.

Ms. Reisig moved that The Affordable Housing Trust Study Committee adjourn the
meeting held on May 25, 2022. Ms. Weiss seconded the motion. The Affordable Housing
Trust Study Committee voted in favor of the motion 7-0-0 Roll Call Vote: MOTION
PASSED UNANIMOUSLY.
Meeting adjourned at 5:50 pm.
