The Lexington Historical Society has requested pernussion to use the Battle Green on Wednesday, Apri120,
2022 from 10:00am to 2:OOpm for the purpose of their annual Battle of Lexington Reenactment for children.
The event will run in two groups at 10:00am and 12:30pm, beginning at Buckman Tavern and ending with a
reenactment on the Battle Green. There will be intermittent use of the Battle Green between the times of
10:45am to 11:15am and 1:15pm to 1:45pm. They are requesting a rain date of Thursday, April 21, 2022.
The Police Department, Department of Public Works, and the Fire Department ha�e no objections to this
request.

Elect�-ic and Gas Supply for Town operations — We previously informed the Board that we have been working
with the Town's consultant on elechic and gas supply. While our current electric contract doesn't expire until
December 2023 and the gas contract expires in October 2023, we are looking at the future markets and believe
this is a good time to purchase out to 2026. Brian White from Freedom Energy will present to the Select
Board We are seeking approval fiom the Board for the Town Manager to execute contracts with actual bid
prices (the attached infoi-mation is the indicative pricing).
Electric— Recommendation is to sign a 35-month fiYed term with indicative pricing at$0.11424 which includes
increasing MA Class I RECs from 10% to 13%; 61% wind (the remaining 26% is the MA required green
electric in 2024); for 100% green electric. This is compared to the current 12-month Eversource rate of$0.1416
rate for large accounts and $0.1193 for small accounts and our current rate of$0.09181. While this has an
estimated cost impact of$183,185 the rates are substantially below the Eversource market rates.
Gas— Recommendation is to sign a 30-month fiYed term, the indicative pricing is at $0.518/Therm compared
to our current rate of$0.531.
SUGGESTED MOTION:
Move to authorize the Town Manager to enter contracts for the Town's electric and gas supply through
October and Apri12026 (respectively) after the bid opening.

Narrative—Lexington saved $160,278 over the last 12 months compared to NGRID by locking in the current term on 5/20/20,
at the peak of the pandemic when no one was using gas or electricity outside of their homes. Despite the perfect timing of
your last purchase, and the craziness going on in the world right now, Lexington can lock its next contract at an even lower
rate!
The Town uses 87%of its annual usage when gas prices are the most volatile and expensive-during the winter months
(November—April). While this is a typical profile among Cities and Towns, suppliers prefer a more balanced usage pattern.
Energy markets tend to have short-term reactions and right now, calendar years 2022 and 2023 are trading at historical highs
due to current conditions. We heard some concerns that Lexington would be buying during the marl<et pealc, and if your next
agreement began in October 2022,you'd be right. Lexington's opportunity is in calendar years 2024 and 2025.
We're at a point where you can lock in the next contract at a lower rate, before the market catches up and things get crazy in
these outer years—a guaranteed savings.
Our experience has been that the closer you get to the contract start date,the higher the offers get. Every cent per therm
translates to$7,940 in annual expense so if these offers were to increase just 5%, it would cost an additional $20,500 per year.
Last thing to consider, the proposed 30 month offer of$0.518/Therm would be the lowest rate Lexington has ever locked in for
gas going all the way back to 2006! The start date of October 2023 might feel like a long time from now but with the country
getting past COVID, does anyone really think the market will get better if we wait?

Narrative: Lexington saved over$119,000 on energy costs compared to Eversource in 2021 by executing the current electric
agreement on 5/20/20, at the peak of the pandemic when no one was using electricity or gas outside of their homes.
Lexington also added 10% MA Class I RECs and 72% National Wind RECs to achieve 100%�� ����or�, Q�����.
With Lexington joining the "Race to Zero Movement"the Town's rate will increase on the next agreement because Mass Class I
REC prices have since increased and a higher percentage is needed to remain on pace. Per Lexington's Climate Neutrality Plan,
the Town is aiming for a 50% reduction in global emissions by 2030 and will need 15%MA Class I RECs,to pair with the 35%
embedded in all electric pricing by the state (illustrated in the chart above),to hit the next milestone.
We're recommending you add 13% MA Class I RECs to this agreement, keeping you ahead of schedule, costing an additional
� ,�,,,,�„�'� �, ����($3,008/month starting in December 2023) at today's REC pricing. If you wanted to replicate the current
agreement by backfilling the remaining brown power with National Wind RECs to be at 100% ��iir����ro����ii� �����������,�iir�once again, add
another$0.0035/kWh bringing the GREEN adder, in total,to$0.00792/kWh ($5,390/month). We spoke of at least one Board
Member that sees little benefit in adding wind RECs, so we separated the costs.
We did NOT include the school accounts designated for solar in this RFP. The best way to add them will be looking back at the
impact on usage in a year or two after they've been turned on. These accounts will consume much less electricity at that
point,giving Lexington a better shot at falling within the add/delete allowance.
New England electric pricing is largely driven by natural gas, over 50%of all electric generation comes from gas-fired plants and
the demand for gas continues to increase as the US is looking to become the world's largest exporter of gas by the end of
2022. Over the last 12 months, Eversource's rates were higher than both recommended terms (including the green adders!),
and current world events haven't even impacted them yet. Lexington can lock up$0.114/kWh with 13% MA Class I RECs and
61%National Wind RECs through November 2026 with 100% ��„��°��m��u� I������u���,
To give you an idea of current market pricing,the offers below were presented to another MA Town on 3/22/22. Unlike
Lexington,they decided to wait instead of looking early, and they've run out of time. Keep in mind, these offers have ZERO
green energy included. This is why we're recommending you tal<e advantage of these outer years while they're still trading at
desirable levels.

MOTION: That the Select Board be authorized to petition the Massachusetts General Court to
enact legislation in substantially the form below, and further that the Select Board be authorized
to approve amendments to said legislation before its enactment by the Gener•al Court that are
within the scope of the general objectives of this motion:
AN ACT AUTHORIZING THE TOWN OF LEXINGTON TO ALLOW REMOTE
PARTICIPATION AT TOWN MEETINGS
Be it enacted as follows:
SECTION 1. Notwithstanding any general or special law to the contrary, the Town of Lexington
may, by bylaw, permit a representative town meeting to be held through remote participation or a
hybrid of in-person and remote participation, including, but not limited to, by means of a video
or telephone conferencing platfonn. All actions taken during a completely remote or hybrid
remote town meeting held pursuant to this act shall have the same effect as if the town meeting
had been conducted in person.
SECTION 2. In adclition to and without liiniting the authority of the Lexington select board or
moderator under this act or any other general or special law, the select board may declare that a
session of town meeting called to be held either entirely in person or through a hybrid of in-
person and remote participation shall be held entirely through remote participation in the event
that, due to an emergency, no suitable town facility is available in the town of Lexington in
accordance with the the provisions of section l0A of chapter 39 of the general laws. The
procedures of said Section l0A of chapter 39 shall apply to the change to an entirely remote
meeting.
ATM Article 34 and STM -2 Article 3 Explainer
STM 2 Article 3 provides an amendment to our existing bylaw governing Town Meeting to allow
hybrid meetings with both in person and remote participants. The amendment allows the
inclusion of remote participants in the count toward Quorum. The minimum quorum count is
unchanged at 100 of which at least 75 members are required to be present in person, but
additional members participating by remote access may be counted toward quorum. This is
not limited to emergency relief. Further, a set of operating rules for remote participation must
be adopted byTown Meeting before remote participation is authorized.
This article does not, by itself, authorize fully remote town meetings. It only establishes the
process for how remote participation will be determined and allows quorum to be reached in a
hybrid meeting by counting remote participants. It provides amendments to Chapter 118, the
Town Meeting Bylaw, to codify the manner in which we have been conducting remote
meetings under the state's emergency legislation.
Timeline:
1. ATM 22 votes bylaw change (4/22) Requires Town Meeting to adopt operating rules
before implementation.
2. Bylaw change is submitted to Attorney General for review. AG review expected by

ATM Article 34 (new) provides a request for a Home Rule Petition authorizing the Town to
amend our bylaws to permit hybrid or fully remote town meeting. All particulars would be
adopted as bylaw amendments approved by Town Meeting. It would provide the ability to add
to or alter permissions as the technology and/or interest evolved, without needing to seek
additional special legislation.

ARTICLE 31 AMEND GENERAL BYLAW - REPORTING, DISCLOSING, AND
ASSESSING THE ENERGY AND WATER USE OF LARGE BUILDINGS
MOTION:
That the Code of the Town of LeXington be amended by adding a new Chapter 20, "Buildings,
Energy Use"as follows;
Section 1. Definitions
For the purposes of this section,the following words shall have the following meanings unless
the context clearly requires otherwise:
"Commercial building", a building or multiple buildings on a parcel of which not less than 50 per
cent of the gross floor area, including hallways or other common space,but excluding parking, is
used for commercial,retail, office,professional, educational or other nonresidential pusposes, or
some combination thereof, or any grouping of commercial buildings designated by the Town as
an appropriate Reporting Unit for the purposes of this section;provided,however,that
"Commercial building" shall not include a building owned or leased by a municipal, state, or
federal agency.
"Energy", electricity,natural gas, steam,hot or chilled water,heating or fuel oil,propane, on-site
renewable energy, or other products used for heating, cooling,lighting, or water heating, or for
powering or fueling other end uses.
"Energy use benchmarl�ing tool",the ENERGY STAR Portfolio Manager, an online energy use
benchmarking tool used by the United States Environmental Protection Agency for reporting and
managing the energy performance,water ef�ciency and Greenhouse Gas Emissions of buildings,
or some other tool capable of; (i)performing all the functions relevant to compliance with this
section; (ii) allowing for reporting by third parties,including but not limited to, gas distribution
and electric distribution companies; and(iii) exchanging information and data with the ENERGY
STAR Portfolio Manager.
"Greenhouse gas," as defined in M.G.L. c. 21N.
"Gross floor area", as defined in Town of Lexington Zoning Bylaw Chapter 135-10.1

"Reporting Unit,"a building or buildings that meet(s) any of the following criteria: (1)buildings
owned or leased by the Town, or(2) as of May 15, 2022 a parcel with one or more buildings of
not less than 25,000 sq. ft. with residential or commercial uses or a combination of residential
and commercial uses. In the case of criteria(2) above, where there is more than one building on
a parcel,the Town may permit the entire complex of buildings to repart as a single "Reporting
Unit,"or may designate one or more buildings as separate"Reparting Units."
"Owner,"the owner of record of a Reporting Unit, or a designated agent thereof, including,but
not limited to,the association or organization of unit owners responsible for management in the
case of a condominium,the board of directors in the case of a cooperative apartment corporation,
the trustees or governing body in the case of a not-for-profit entity and the net lessee in the case
of a building subject to a net lease with a term of not less than 49 years,inclusive of all renewal
options.
"Residential building", a Reporting Unit on a parcel of which not less than 50% of the gross floor
area, including hallways and other common space serving residents,but excluding parking, is
used for dwelling purposes, or any grouping of residential buildings designated by the Town or a
municipality as an appropriate Reporting Unit for the purposes of this chapter.
"Tenant", any tenant, tenant-stockholder of a cooperative apartment corporation, or condominium
unit owner.
Section 2: Reporting and Disclosure Requirements
(a) The Town shall undertake energy use benchmarl�ing to determine whether each Reporting
Unit utilizes more or less energy, and emits more or less greenhouse gases,than Reporting Units
of comparable size, occupancies and uses,and to inform a town-wide analysis of energy use
trends and opportunities to increase energy efficiency and reduce Greenhouse Gas Emissions. To
conduct the benchmarking,the Town shall designate an energy use benchmarking tool.
(b) (1)To administer this section,the Town shall use building types and occupancies defined by
780 CMR. The Town may designate subcategories within each building type and occupancy, and
may establish different reporting requirements for each subcategory. In establishing reporting
requirements,the Town may consider whether tenant-occupied units or spaces are separately
metered.

(2)Not later than May 15 of each year,beginning in 2023,the Owner of each Reporting Unit shall
use the energy use benchmarking tool to accurately report to the Town, or cause to be accurately
reported to the Town, the Reporting Unit's energy use, any electricity suppliers' energy labels
(i.e., electricity source), any retired Class I or equivalent Renewable Energy Certificates (RECs)
for the previous calendar year, and any building characteristics detennined by the Town to be
necessary to establish the absolute and relative energy use of the Reporting Unit. The Owner of a
Reporting Unit subject to this section may authorize a gas or electric distribution company or
other third party to report building-specific data to the Town,provided,however,that such
authorization shall not relieve an Owner from compliance with this section.
(3)An Owner of a large Reporting Unit with separately-metered and tenant-occupied units shall
request the electric and gas dist�ibution companies to provide the aggregate energy consumption of
all meters in the Reporting Unit, including tenant-occupied units and separately-metered units. If
the elect�ic and gas dist�ibution companies do not provide the requested information, the Owner
shall annually request from each tenant of the Reporting Unit all information necessary to comply
with the requirements of paragraph (2). (4) An Owner may request that the Town extend the
Owner's deadline to provide a required report for good cause shown.
(5)If an occupied Repoi-ting Unit subject to the requirements of this section is hansferred,the
buyer shall make reasonable efforts to report energy use information for the Reporting Unit for
the entire calendar year, if practicable.
(c)Not later than October 1 of each year,the Town shall make available on its website energy use
information and data for the preceding calendar year for each Reporting Unit. For each Reporting
Unit,the information made available shall include,but not be limited to:
(i) the address of the Reporting Unit and building ID(s) for all buildings within the
Reporting Unit;
(ii) the Owner of the Reporting Unit;
(iii) total square footage;
(iv) building type and principal use(s);
(v) the Reporting Unit's total energy use in kBTU and energy use intensity in kBTU per
square foot;

(vi) the breakdown of the Reporting Unit's energy use and energy use intensity by
electricity, gas,renewable energy, and other sources;
(vii) water usage; and
(viii) the Reporting Unit's total Greenhouse Gas Emissions intensity in lcg COze per square
foot.
The Town shall utilize such practices as are necessary to prevent the public disclosure of personal
information regarding owners and tenants, and maintain a quality assurance process to improve
the accuracy and completeness of the available information. The Town shall provide owners with
the opportunity to submit contextual information related to energy use in their Reporting Units
and shall disclose such information on its website upon request by the owner.
(d)The Town shall prepare an annual comprehensive report on the energy performance of
Reporting Units utilizing the information and data collected pursuant to this section. The report
shall include,but not be limited to, an analysis of energy performance, Greenhouse Gas
Emissions, and energy sources by building size, occupancy, and use. The report shall also
include,when available, energy perforinance and Greenhouse Gas Emissions over time. The
report shall be posted on the Town's website.
(e) On the basis of the comprehensive reports prepared by the Town,the Town shall conduct an
annual review of trends in the energy performance of Reporting Units and recoinmend changes to
laws,regulations,policies, and prograins to achieve Greenhouse Gas Emission reductions.
Section 3: Enforcement
Owners of Reporting Units failing to comply(after December 31,2024)with the energy use
reporting and benchmarking requirements of this section or knowingly providing false or
incomplete information to the Town shall be subject to a fine in an amount not to exceed$300
pursuant to M.G.L. c. 40, § 21D and § 1-6 of the Town's Code of Bylaws,provided that no
Owner shall be fined far a failure to report data it has not been able to obtain from a Tenant or
electric and gas distribution company,where the Owner has demonstrated it has made a good
faith effort to obtain that data. Each day of noncompliance shall constitute a separate violation per
day of noncompliance for Reporting Units.

ARTICLE 3 AMEND GENERAL BYLAW TO ALLOW REMOTE PARTICIPATION
AT HYBRID TOWN MEETINGS
To see if the Town will vote to amend Chapter 118 Section 18 (Quorum) of the Code of the
Town of Lexington to include remote participants as part of the quoruin for a meeting; and to
add a new section regarding remote participation at Town Meeting; or to act in any other manner
in relation thereto.
DESCRIPTION: In June 2020, the Legislature temporarily provided express authorization for
representative Town Meetings to be held by remote means due to the COVID-19 pandemic. That
authorization was extended and will expire on July 15, 2022.
This amendment to the general bylaws explicitly recognizes hybrid meetings of Town Meeting
where remote Town Meeting Member participants are allowed to participate fully and count to
meeting quorum requirements. In addition, this amendment includes a new section similar to
Section 17.0 that specifies that remote participation will be governed by a set of operating rules
adopted from time to time by Town Meeting.
DRAFT MOTION
That Chapter 118 of the Code of the Town of Lexington be amended as set forth below, and
further that non-substantive changes to the numbering of this bylaw be permitted in order that it
be in compliance with the numbering format of the Code of the Town of Lexington:

§ 118-18 Quorum.
A. The presence of 100 members at a Town meeting for the transaction of business shall be
required to constitute a quorum, except for a motion to adjourn for which no quorum
shall be required; provided,however, that no vote carrying the expenditure or
appropriation of any sum of money shall be held to be invalid by reason of lack of the
required quorum, unless it appears from the records of the Town Clerlc of the meeting
that before the result of such vote was declared the question of the presence of a quorum
was duly raised and that such record shows that the required quorum was lacking.
B. At least 75 members shall be�resent at the�hvsical location identified in the warrant for
the meetin�.

A. Hybrid Town Meeting
A hybrid Town Meeting is one where participants may attend the meeting in person or
remotely via an audio or video conferencing system.
B. Remote Participants
If a hybrid meeting is held, Town Meeting Members may participate remotely with the
same privileges and responsibilities as if those Members were attending the Meeting in
person.
C. Operating Rules
(1) After a public hearing, the Moderator, in consultation with the Select Board, and the
Town Clerk, is authorized to define operating rules governing the operation of a hybrid Town
Meeting. The operating rules shall include procedures for: :
(a) Audio and visual communications during the meeting,
(b) Determining if a quorum is present,
(c) Requesting and being recognized to speak or offer a point of order,
(d) Voting, and
(e) Participation by members of the public, staff; and other interested parties
who are not Town Meeting Members.
(2) A Hybrid Town Meeting and its corresponding operating rules must be authorized
by a two-thirds majority vote of Town Meeting.
(a) Such authorization may occur at a session of any Town Meeting, including
one proposed to be held as a Hybrid Town Meeting,but must occur before the electronic system
is used for any other business of the meeting.
(b) The Hybrid Town Meeting operating rules shall remain in effect for all
subsequent Hybrid Town Meetings unless a petition signed by 40 or more members is submitted
to the Moderator asking to reconsider the operating rules; or changes to the operating rules are
requested by the Moderator in accordance with the procedures in Subsection 118-20(C)(1). In
either event, authorization for use of the electronic system must again be put to a two-thirds
majority vote of Town Meeting.
